Our client is a leading holding group seeking a Legal Manager to provide legal, regulatory, and compliance support across the group and its portfolio companies.
This is an excellent opportunity for a commercially minded legal professional with strong Saudi market experience, solid knowledge of corporate and commercial law, and the ability to advise senior stakeholders on legal risk, regulatory compliance, contracts, governance, and business operations.
The successful candidate will support the senior legal leadership team by reviewing legal documents, advising on regulatory matters, improving compliance controls, liaising with government and regulatory authorities, and supporting the group’s wider business and portfolio company activities.
Key Responsibilities
- Provide legal support, guidance, and advisory services to the group and, where required, its portfolio companies.
- Review, examine, and advise on contracts, agreements, and legal documents to ensure compliance with Saudi laws and regulations.
- Interpret laws, rulings, regulations, and regulatory requirements to support business awareness and legal compliance.
- Draft, review, and amend legal documents in both Arabic and English where required.
- Conduct legal research and present findings, implications, and recommendations to senior stakeholders.
- Support meetings, negotiations, and legal discussions on behalf of the group.
- Review and update constitutional documents, corporate records, and governance documentation to ensure compliance with applicable laws and regulations.
- Assist with company registrations, amendments, notarisation of Articles of Association, and related corporate legal processes.
- Develop, implement, and oversee compliance control systems to prevent, identify, and address violations of legal guidelines and internal policies.
- Evaluate the effectiveness of legal and compliance controls and recommend improvements where required.
- Review procedures, reports, and internal processes to identify legal risks, compliance gaps, or areas of non-conformity.
- Draft, modify, and implement policies and procedures related to legal and compliance matters.
- Work closely with internal departments, including HR, Finance, corporate teams, and business units, to ensure compliance with laws, regulations, standards, and internal policies.
- Assess future business ventures, transactions, and projects to identify potential compliance risks and recommend mitigation strategies.
- Review the work of internal teams where required to identify compliance issues and provide practical advice or training.
- Monitor regulatory developments, legal updates, and evolving best practices in compliance and corporate governance.
- Prepare reports for senior management and external regulatory bodies where appropriate.
- Liaise with Saudi governmental and regulatory authorities, including capital market regulators where relevant, on matters impacting the group.
- Coordinate with external legal advisors and litigation specialists where additional legal expertise is required.
- Perform other legal, compliance, and advisory tasks as assigned by senior legal leadership.
Requirements
- Bachelor’s degree in Law, Sharia, or a related legal discipline.
- Strong legal experience within a reputable organisation, ideally with exposure to holding groups, listed companies, investment groups, industrial groups, or diversified corporate environments.
- Strong knowledge of Saudi laws, regulations, corporate governance, commercial law, compliance requirements, and regulatory procedures.
- Experience reviewing, drafting, and negotiating commercial contracts, legal documents, corporate documentation, and bilingual legal materials.
- Good understanding of compliance controls, internal policies, reporting procedures, record keeping, and legal risk management.
- Experience liaising with Saudi government bodies, regulatory authorities, and external legal counsel.
- Exposure to Capital Market Authority requirements, listed company governance, or capital market regulations would be highly advantageous.
- Ability to support portfolio companies or multiple business units on legal and compliance matters.
- Excellent command of Arabic and English, with strong written and verbal communication skills.
- Strong analytical, organisational, planning, and problem-solving skills.
- Methodical, diligent, and detail-oriented, with the ability to understand complex procedures, regulations, and compliance requirements.
- Certified compliance qualification would be an advantage.
- Saudi national or Arabic speaker would be preferred.
